  ARTICLE 2. APPLICATION
 
 
  Any order placed to the company ESPERANCE CAP 25 - VINISSIME implies full and entire acceptance without reserve by the buyer and his full and entire adhesion to these general sales conditions.
 
 
 
     
  ARTICLE 3. ORDER
 
 
  Any order for a lesson or a wine tasting in groups or of gift voucher, must be placed online through our website www.vinissime.fr.

Any order for a private service will be preceded by a quote sent by email. At receipt of your written agreement and deposit credited on our account, your order will be considered as firm. Deposit required is 50 % of the vat included amount you can pay by credit card, bank transfer or cheque.
 
 
 
     
  ARTICLE 4. PRICES
 
 
  Our prices are V.A.T. inclusive at the current rate at the date of your order (19,60% at the moment), as well as French taxes on spirits inclusive. They are fixed for a whole year from January 1st to December 31st, excluded special delivery involving grands crus de Bordeaux liable to unpredictable increase.
 
 
 
     
  ARTICLE 5. PAYMENT
 
 
  For orders for services of a collective nature (courses, cocktail) vinissime.fr website has a secure payment system provided by our bank, Société Générale. You can also pay by check.

Any order for services of a private nature, a payment of 50% deposit by check or credit card upon presentation of quotation or proforma invoice will be required. The balance must be paid by bank transfer or credit card upon receipt of invoice the day of the delivery.
   
 
 
 
  ARTICLE 6. LEAD TIME
 
  For Gift vouchers only. Upon receipt of your payment Vinissime makes the commitment to issue the voucher between 2 and 5 working days and to send it by email in a pdf format (front / back of the voucher ordered), or by mail to the address that you gave us.
   
 
 
  ARTICLE 7. COSTS
 
  The enlisted costs (and paid to thirds) by our company on the occasion of the execution of your order (spotting locations, animations…) must be, prior to, the object of a mandate on your behalf, authorizing us to imply a specific, defined sum between our two companies. In this mandate are included the costs charged for kilometres travelled and are charged following the annual fiscal barometer (basis 6 fiscal CV).
   
 
 
  ARTICLE 8. INSURANCES
 
  For the trips to the vineyards, you must imperatively insure the persons who travel, as ESPERANCE CAP 25 - VINISSIME is not enabled to civilly insure their clients. ESPERANCE CAP 25 - VINISSIME is not a travel agency according to the French law.
We, most often, work with local operators in each vineyard who are enabled by the French law to organize transport and make reservations for you, as well as insure the group of persons they have to take care of.
   
 
 
  ARTICLE 9. CANCELLATION CLAUSE
 
  According to the article L.121-20 of the french consumption code, any consumer has 7 days to exercise his right for "withdrawal his order without any reasons or pay penalties, except the cost of return" costs which raises with ESPERANCE CAP 25 – VINSISIME to 10 Euros (bank charges and return costs).
   
 
 
  ARTICLE 10. VALIDITY OF THE OFFER
 
  3 months, except extensions and notably for the estimates involving the Grands Crus de Bordeaux, which follow the financial Vins de Bordeaux indexes on the stock market, as for the latter a quotation is made on the supply basis within the 15 days and the company ESPERANCE CAP 25 - VINISSIME could be led to change a reference if the indexes of the wine held have significantly increased between the date of the estimate and the placement of the order with the owner or wholesaler.
   
 
 
  ARTICLE 11. CANCELLATION
 
 

In the case of a cancellation of the order of collective course or co cktail, this should be notified to ESPERANCE CAP 25 - VINISSIME by an email no later than two working days before the date of the event.

Otherwise, the fees will be fully due and provision kept. If the operation is canceled within 2 working days, ESPERANCE CAP 25 - VINISSIME will refund by check the person (s) hampered (s) from attending the event holding only a package of 10 Euros (bank charges and return costs).

In the case of an event of a private nature, the cancellation must be made within 10 working days (about 2 weeks). If the cancellation is made within a period of between 5 and 10 working days, a provision of 25% of the amount of the benefit provided will be kept. In case of a cancellation within less than 5 working days from the date of the event, the full 50% deposit will be retained, except in case of "force majeure" to be justified (serious illness, accident, death in the family).

   
 
 
  Article 12. PRIVACY POLICY
 
  The Company ESPERANCE CAP 25 – VINISSIME is committed to protecting your personal information and your privacy. We use the information you provide us to process your orders and possibly to share information and promotional offers on our site that may interest you. ESPERANCE CAP 25 - VINISSIME is also committed to never sell neither give - with or without charge - to third parties information about you.

Under Article 27 of the french Data Protection Act dated 6th January 1978, you have a right to access and rectification of data concerning your person. To exercise this right, you just need to tell us about the changes you want by email by writing to contact@vinissime.fr with title CHANGE INFORMATION about…
   
 
 
  Article 13: PROTECTION OF MINORS
 
  According to article L.3342-1 of the French which states that the sale of alcohol to minors under 16 is prohibited, you agree, by registering for a course, a cocktail or organizing a private event, that the participants are all 18 years old on the day of their participation to the event.
   
 
 
  Article 14: ALLOCATING JURISDICTION
 
  The tribunal de commerce de Paris is the only competent to know any dispute, of any kind, including payment or delivery promise. French Law is only applicable on relationship born from the contract between supplier and buyer.

SELLING TERMS AND CONDITIONS - CORPORATE
 
     
  ARTICLE 1. ORDER
 
  An order is confirmed to the company ESPERANCE CAP 25- VINSSIME which runs the brand VINISSIME- below named ESPERANCE CAP 25 - VINISSIME , when our estimation accompanied by our general selling terms and conditions are returned to us in their entirety, initiated on each page and signed on the last page of the estimate and on the general selling terms and conditions by a person validly representing the company along with a down payment of 75% of the amount of the service in T.T.C (sales tax included).
   
 
 
  ARTICLE 2. PRICES
 
  Our prices are given duty free, V.A.T. excluded, this last tax being charged when order is placed at the currently rate (19.6 % at the present time) + taxes on spirits (no specific tax on wines).
   
 
 
  ARTICLE 3. WINES
 
  ESPERANCE CAP 25 - VINISSIME has a wine cellar that is run privately and which equally purchases its own stock, if the operation requires, by buying the wine from winemakers and wholesalers. In this case, unless specified in writing on the estimate, the orders are to be made by multiples of 6 bottles, billed to the client as 6 full bottles, for all the wines of a value below 30 EUROS duty-free (excluding the sales tax).
   
 
 
  ARTICLE 4. LEAD TIME
 
  An operation must be ordered within the minimum of 10 work days (In general 2 calendar weeks) for when the operation entails the purchase of specific wines and 5 work days in the other cases. The lead time however can be extended in the seasons of increased activity (September through March and the month of June) and is explicitly stipulated in the estimates.
   
 
 
  ARTICLE 5. COSTS
 
  The enlisted costs (and paid to thirds) by our company on the occasion of the execution of your operation (spotting locations, animations…) must be, prior to, the object of a mandate on your behalf, authorizing us to imply a specific, defined sum between our two companies. This procedure allows us to recuperate the pertaining sales tax (T.V.A.) on these costs. Not included in the domain of this mandate are the costs charged for kilometres travelled and are charged following the annual fiscal barometer (basis 6 fiscal CV).
   
 
 
  ARTICLE 6. PAYMENT
 
  75% of the whole-sale price of the bill from the order, with the balance to be paid cash after the services is provided.
   
 
 
  ARTICLE 7. INSURANCES

  ARTICLE 9. CANCELLATION
 
  In the case of a cancelation of the order, this should be notified to VINISSIME by letter at least 10 work-days in advance (in general 2 calendar weeks) before the date of the operation and a repayment of 50% of the amount of the fees will be conserved.
If the operation is cancelled in a delay inferior to 5 work days, ESPERANCE CAP 25 - VINISSIME will perceive a payment equivalent to 100% of the amount of the fees and the wines ordered. In that case, the wines ordered are the property of the customer.
   
 
 
  ARTICLIE 10. RIGHT OF PROPERTY
 
  ESPERANCE CAP 25 - VINISSIME remains the owners of the merchandise delivered until the entire payment is made and reserves the right to recuperate the merchandise by all legal means in the case of a payment not made. In the case of litigation, the Tribunal of Commerce of Paris is of competent jurisdiction.
